Terms of Service
These terms govern business use of Agent M, the AI service operated by Maxwell AI Solutions (“Maxwell AI”, “we”, “us”). They apply to every organization (“client”, “you”) that connects its software to Agent M. A signed agreement or order form with us takes priority where it says something different.
1. The service
Agent M works inside the business applications you connect — such as QuickBooks, Salesforce, HubSpot, Stripe, Shopify, Ramp, Excel or Google Sheets — to clean data, keep systems in sync, reconcile records and produce reports, writing approved fixes back into those systems. Each job is logged so you can see what was done. The service is for businesses, not consumers.
2. Your responsibilities
- Give us accurate instructions and tell us who at your organization can approve work.
- Keep your own accounts, passwords and backups of your business data.
- Review the outputs and reports Agent M produces before relying on them for tax, legal, financial or regulatory decisions — those remain your decisions.
- Use the service lawfully and only with data you have the right to share with us.
3. Authorization
By connecting an application (through its OAuth screen or by giving us an API key) you confirm you are authorized to do so for your organization, and you authorize Agent M to read and write data in that application to carry out the work you request. You can revoke this at any time from the application’s settings; the service for that application stops when you do.
4. Your data and confidentiality
Your data stays yours. We treat everything we access as confidential, use it only to provide the service to you, and handle it as described in our Privacy Policy. We do not sell it or use it to train AI models. Each party will keep the other’s non-public business information confidential and use it only for this relationship.
5. Fees
Fees are set out in your proposal, order form or invoice. Unless agreed otherwise, invoices are due within 30 days.
6. Warranty
We will perform the service with professional care and skill. Beyond that, the service is provided “as is”: we do not promise it will be error-free or uninterrupted, and we make no other warranties, express or implied, including merchantability or fitness for a particular purpose. Third-party applications you connect are provided by their own vendors under their own terms.
7. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential losses, or for lost profits or lost data, and our total liability for any claim relating to the service is limited to the fees you paid us in the three months before the event giving rise to the claim.
8. Termination
Either party may end the service with written notice (email is fine). You may also disconnect any application at any time. On termination we stop accessing your systems and delete your data as set out in our Privacy Policy. Fees for work already performed remain payable.
9. Governing law
These terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules, and the courts located in New York have jurisdiction over any dispute.
10. Changes and contact
We may update these terms and will change the date above when we do; material changes will be notified to active clients. Questions: [email protected].
